These Terms of Use (hereinafter referred to as the “Terms”) govern MB “Vienu yriu prieky” (hereinafter referred to as “we”, “our”, “upemis.lt”), which operates the website https://upemis.lt, a platform through which rental providers (hereinafter referred to as “Rental Providers”) offer rental services to tourists (hereinafter referred to as “Tourists”). The platform also enables event organizers (hereinafter referred to as “Organizers”) to publish paddling events and accept registrations from participants (hereinafter referred to as “Participants”). upemis.lt operates as an intermediary platform, not as a service provider. Please read these Terms carefully before using our platform. By using the website, you agree to these Terms.
1. General Information

Purpose of the platform: upemis.lt is an online marketplace connecting Rental Providers offering rental services with Tourists seeking these services. We are not service providers, but act as intermediaries, ensuring the platform’s operation in return for a 10% platform fee, which is paid by the Rental Provider.
Events: On the platform, Organizers publish paddling events, and Participants register and pay for participation via the platform. For event registrations, upemis.lt applies a 5% platform fee, which is paid by the Organizer. This fee does not apply to the Participant; the Participant pays only the price stated on the platform.
Scope of application: These Terms apply to all users of the platform – Rental Providers and Tourists – and govern their rights, obligations and responsibilities when using upemis.lt.
2. Definitions
Rental Provider: A natural or legal person offering rental services via upemis.lt.
Tourist: A person booking rental services via upemis.lt.
Booking: An agreement between the Rental Provider and the Tourist for the provision of a rental service, concluded via the platform.
Platform fee: A 10% fee charged by upemis.lt to the Rental Provider for acting as an intermediary for each Booking. This fee does not apply to the Tourist; the Tourist pays only the price stated on the platform.
Organizer: A natural or legal person organizing a paddling event and accepting registrations via upemis.lt.
Participant: A person registering for an event via upemis.lt.
Event: A paddling event (a tour, marathon or similar) organized by an Organizer and open for registration by Participants via the platform.
Registration: An agreement between the Organizer and the Participant for participation in an Event, concluded via the platform.
Event platform fee: A 5% fee charged by upemis.lt to the Organizer for acting as an intermediary for each Registration. This fee does not apply to the Participant; the Participant pays only the price stated on the platform.
3. Rules for Tourists
3.1. Making a booking
To book a rental service, the Tourist must pay the full price indicated on the platform in advance via the platform, using the payment service provider Neopay.
The price shown is the final price payable by the Tourist; no additional charges (e.g. a platform fee) apply to the Tourist.
The booking is only considered confirmed once full payment has been received.
The booking price does not include insurance or compensation for damaged or lost equipment.
3.2. Cancellation policy
The Tourist may cancel the Booking at least 72 hours (3 days) before the start of the Booking and receive a full refund within 7 working days.
It is not possible to cancel a booking less than 72 hours before the start of the booking.
Bookings can be cancelled in the bookings section.
3.3. Damage to or loss of equipment
The Tourist is responsible for looking after the hired equipment (e.g. gear, property) during the Booking.
If the equipment is damaged or lost, the Tourist must pay the Rental Provider compensation at market value, as determined by the Rental Provider.
upemis.lt is not responsible for resolving issues relating to damage or loss; this is to be dealt with directly between the Tourist and the Rental Provider.
3.4. Invoices
upemis.lt does not issue invoices for rental services. If the Tourist requires an invoice, they must contact the Rental Provider directly.
The platform fee, which is covered by the Rental Provider, is not included in the amount payable by the Tourist.
3.5. Complaints regarding service quality
If a Tourist is dissatisfied with the quality of the services provided by the Rental Provider, they may submit a complaint by email to info@upemis.lt.
upemis.lt will investigate the complaint and, if the complaint is justified, reserves the right to withhold payment to the Rental Provider. In this case, the Rental Provider will be provided with a detailed report setting out the reasons for the withholding of funds.
Decisions on complaints are made within 14 working days of receipt of the complaint.
4. Rules for Rental Providers
4.1. Provision of services
The Rental Provider is fully responsible for the quality, accuracy and compliance of the rental services offered with the information provided on the platform.
The Rental Provider must ensure that the services comply with the laws of the Republic of Lithuania, including consumer protection requirements.
4.2. Cancellation policy
The Rental Provider may cancel a Booking at any time. The system automatically notifies the Tourist of the cancellation of the booking.
Upon cancellation of a Booking, the Tourist will be refunded the full amount paid within 7 working days, and the Platform fee will not be charged to the Rental Provider.
4.3. Platform Fee
For each confirmed Booking, upemis.lt applies a 10% platform fee, which is deducted from the amount transferred to the Rental Provider. This fee does not affect the price paid by the Tourist.
The funds transferred by the Tourist become due to the Rental Provider 48 hours after the end of the Booking. During this time, the Tourist has the opportunity to lodge a complaint regarding a substandard service. In the event of a complaint, the funds are not credited to the Rental Provider until the complaint has been resolved.
Funds for completed services with no complaint, or with rejected complaints, are transferred twice a month provided the total amount exceeds 100 euros. Transfers are made on the 14th–20th and 1st–5th (inclusive). If the amount to be transferred is less than 100 euros and the Rental Provider intends to cease operations on the platform, the transfer may be initiated at any time via the specified contact details.
4.4. Invoices
The Rental Provider is responsible for issuing invoices to Tourists if they so request.
upemis.lt does not issue invoices for rental services or the platform fee; it only sends a confirmation of payment received.
4.5. Damage to or loss of inventory
The Rental Provider is entitled to claim compensation from the Tourist for damaged or lost inventory at market value.
upemis.lt is not responsible for resolving issues relating to damage or loss; these matters are dealt with directly between the Rental Provider and the Tourist.
4.6. Complaints and disputes
If the Tourist lodges a complaint regarding the quality of the services, upemis.lt will investigate the matter. If the complaint is justified, upemis.lt has the right to withhold payment to the Rental Provider and provide a detailed report setting out the reasons for the withholding.
The Rental Provider must cooperate with upemis.lt during the investigation by providing the necessary information within 7 working days.
5. Rules for Event Participants
5.1. Registration and payment
To take part in an Event, the Participant registers and pays the full registration price stated on the platform in advance, via the platform, using the payment service provider Neopay.
The price stated is the final price paid by the Participant; no additional fees (e.g. a platform fee) apply to the Participant.
A Registration is deemed confirmed only once full payment has been received.
5.2. Cancellation policy
The Participant may cancel a Registration no later than 7 (seven) days before the start of the Event and receive a full refund of the amount paid.
A Registration cannot be cancelled less than 7 days before the start of the Event, and the amount paid is non-refundable. In this case, the Participant may transfer the spot to another person (see clause 5.3).
Refunds are processed by the upemis.lt platform. Transfers are made on days 14–20 and 1–5 of the month (inclusive).
Registrations can be cancelled in the registrations section of your account.
5.3. Transferring a spot
The Participant may transfer their spot to another person free of charge no later than 24 (twenty-four) hours before the start of the Event.
Once the spot is transferred, it disappears from the original Participant’s list, and the new Participant must accept the Event’s liability waiver. The category and price remain unchanged.
Having transferred the spot, the original Participant loses any right to a refund of the amount paid.
5.4. Safety and responsibility
Participation in an Event is voluntary and undertaken at the Participant’s own risk. When registering, the Participant must review the safe-paddling rules provided by the Organizer and accept the liability waiver.
The Participant must follow the Organizer’s instructions and safety requirements (e.g. wearing a life jacket throughout the route).
Minors may participate only with the consent and under the supervision of a parent or guardian, unless the Organizer provides otherwise.
The Organizer is responsible for organizing and running the Event; upemis.lt acts only as an intermediary platform and is not responsible for the conduct or safety of the Event.
5.5. Complaints
If a Participant is dissatisfied with the quality or organization of an Event, they may submit a complaint by email to info@upemis.lt. Complaints are handled in the manner set out in clause 3.5.
6. Rules for Event Organizers
6.1. Organizing the event and responsibility
The Organizer is fully and solely responsible for organizing and running the Event, including participant safety, the route, any necessary permits, insurance, the accuracy of results, and compliance with the laws of the Republic of Lithuania.
The Organizer must ensure that the information about the Event provided on the platform is accurate and correct.
6.2. Services provided by the platform
upemis.lt provides the Organizer with software infrastructure (accepting registrations, start lists, results, pricing and discounts), email communication with Participants, photo storage, and online visibility for the Event.
upemis.lt acts as an intermediary platform and is not the organizer of the Event or a service provider.
6.3. Platform fee
For each paid Registration, upemis.lt applies a 5% platform fee, which is deducted from the amount transferred to the Organizer. This fee does not affect the price paid by the Participant.
6.4. Payments and payouts
All Participant payments for registrations are collected and managed by the platform via the payment service provider Neopay.
Funds are transferred to the Organizer according to the platform’s regular payout schedule: twice a month (on days 14–20 and 1–5 of the month, inclusive), provided the amount to be transferred exceeds 100 euros. Until the Event ends, 5% of the funds are withheld to cover possible cancellations, transfers and refunds; this portion becomes payable 24 hours after the Event ends.
6.5. Refunds
Refunds to Participants under the cancellation policy set out in clause 5.2 are processed by the upemis.lt platform from the collected funds.
If an Event is cancelled or rescheduled at the Organizer’s initiative, Participants are refunded the full amount paid. Force majeure circumstances (e.g. extreme weather) are resolved by agreement between the Organizer and the Participants, in accordance with the law.
6.6. Participant data and photos
The Organizer receives access to Participants’ personal data (start lists, results, contacts) and may use it only to organize and run the Event, in compliance with the GDPR and the Privacy Policy.
Publishing Event photos in which Participants are identifiable on the platform is subject to image-rights requirements; the Organizer is responsible for having an appropriate legal basis for such publication.
6.7. Invoices
The Organizer is responsible for issuing invoices to Participants on request. upemis.lt does not issue invoices for registrations or the platform fee; it only sends a confirmation of payment received.
7. General Provisions
7.1. Role of the Platform
upemis.lt acts as an intermediary platform connecting Rental Providers and Tourists, and is not responsible for the quality or performance of the services provided by Rental Providers.
We shall not be liable for any direct or indirect losses arising from Bookings, except where provided for by law.
7.2. Users’ obligations
All users of the platform (Rental Providers and Tourists) must provide accurate and truthful information when registering and using the platform.
It is prohibited to use the platform for unlawful purposes or in breach of these Terms.
7.3. Limitation of Liability
upemis.lt shall not be liable for the actions of Rental Providers or Tourists, damage to property or the fulfilment of Bookings, except in relation to the Platform’s intermediary functions.
We shall not be liable for any losses arising from force majeure or the actions of third parties (e.g. failures on the part of a payment service provider).
8. Payment processing
All payments for Bookings are processed via the third-party payment service provider Neopay.
upemis.lt accepts no liability for payment processing errors or delays attributable to Neopay or other third parties.
9. Dispute resolution
Any disputes arising from these Terms or the use of the platform shall be resolved through negotiation.
If negotiations fail, disputes shall be heard in the courts of the Republic of Lithuania in accordance with our registered address (Juknaičių g. 25, Lygumai, LT-83306 Pakruojo District, Lithuania), unless otherwise provided for by law.
Tourists, as consumers, have the right to contact the State Consumer Rights Protection Authority (www.vvtat.lt) or to use the EU Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr).
10. Amendments to the Terms
We reserve the right to update these Terms. We will notify you of any material changes by email (info@upemis.lt) or on our website at least 14 days before they come into effect.
